Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the Apex Elite website, client portal, and coaching services (collectively, the “Services”), provided by Apex Elite (“we”, “us”, or “our”). By creating an account, purchasing a subscription, or otherwise using the Services, you agree to these Terms.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Health Disclaimer & Assumption of Risk

Apex Elite provides general fitness and nutrition coaching for educational and motivational purposes. We are not a medical provider, and the Services do not constitute medical advice, diagnosis, or treatment.

You should consult a licensed physician before beginning any exercise program or changing your diet, especially if you have any pre-existing condition, injury, or concern. By using the Services, you acknowledge that exercise carries inherent risks, including the risk of injury, and you voluntarily assume all such risks.

You agree to release, indemnify, and hold harmless Apex Elite and its representatives from any and all claims arising out of or related to your participation in the Services.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at apexelite@apex-elite.com of any unauthorized access.

5. Subscriptions & Billing

Coaching plans are sold as recurring monthly subscriptions, billed in advance through our payment processor (Stripe). Your subscription will automatically renew at the end of each billing period unless you cancel beforehand.

Pricing for each tier is shown on the pricing page and may be updated from time to time. We will notify you of any price changes that affect your active subscription before they take effect.

6. Cancellation & Refunds

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period; you will retain access to the Services until that date. Refunds are governed by our Refund Policy.

7. Acceptable Use

You agree not to:

• Share, resell, or redistribute coaching materials without our written consent.
• Use the Services to harass, abuse, or harm others.
• Attempt to gain unauthorized access to the Services, interfere with their operation, or reverse-engineer any portion of them.
• Misrepresent your identity or your medical or fitness status.

8. Intellectual Property

All training plans, nutrition templates, written content, branding, logos, and other materials provided through the Services are the intellectual property of Apex Elite and are licensed to you for personal, non-commercial use only. All rights not expressly granted are reserved.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee any specific fitness, physique, or health outcome. Individual results vary based on adherence, genetics, and other factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, Apex Elite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claim arising from the Services shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate your access to the Services at any time for any violation of these Terms or for conduct we determine, in our sole discretion, to be harmful to other users, to us, or to the Services.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Apex Elite is operated, without regard to conflict of law principles. Any dispute arising from these Terms or the Services will be resolved in the courts located in that jurisdiction.
